1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Client," or "you") and Cashflowboostzone Inc., a corporation registered in Ontario, Canada with VAT number 821940573 RT 0001, located at 161 Bay St., Toronto, ON M5J 2S1, Canada ("Company," "we," "us," or "our"). By accessing, browsing, or using our website, services, products, and any related platforms (collectively, the "Services"), you agree to be bound by these Terms. If you do not agree to these Terms, you must immediately cease use of the Services.

2. Services Description

Cashflowboostzone Inc. provides cash flow optimization, financial clarity, analysis, consulting, and related business advisory services to help clients improve their financial position and operational efficiency. Our Services may include but are not limited to:

  • Cash flow forecasting and analysis
  • Working capital optimization
  • Financial reporting and advisory
  • Liquidity management solutions
  • Strategic financial planning

The Company reserves the right to modify, suspend, or discontinue any Service at any time with reasonable notice to Users.

3. User Eligibility

You represent and warrant that you are at least 18 years of age and possess the legal authority to enter into this agreement. If you are using the Services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms. Users must be located in or conducting business in Canada or have explicit authorization to use our Services. Prohibited users include minors, individuals who have been previously banned, and those violating applicable laws.

4. Intellectual Property Rights

All content, materials, design, graphics, logos, text, images, videos, software, and other intellectual property on our website and Services ("Content") are the exclusive property of Cashflowboostzone Inc. or our licensors and are protected by international copyright, trademark, and intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Content solely for your personal or business use, provided that you do not:

  • Reproduce, modify, or distribute the Content without written consent

5. User Conduct and Restrictions

Users agree not to engage in any conduct that violates these Terms or applicable law. Prohibited activities include but are not limited to:

  • Spamming, phishing, or engaging in fraudulent activity
  • Violating intellectual property or privacy rights
  • Engaging in illegal activity or inciting violence

The Company reserves the right to suspend or terminate access for Users who violate these restrictions.

6. Data and Privacy

Your use of our Services is governed by our Privacy Policy, which is incorporated by reference into these Terms. We collect, process, and protect your personal data in accordance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and other applicable Canadian privacy laws. By using our Services, you consent to the collection and processing of your information as described in our Privacy Policy. We implement industry-standard security measures to protect your data, but we cannot guarantee absolute security.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CASHFLOWBOOSTZONE INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

The Company's total liability for any claim arising from these Terms or the Services shall not exceed the amount paid by User for the Services in the preceding 12 months, or $500 CAD, whichever is greater. Some jurisdictions do not allow limitations of liability, so this limitation may not apply to you.

8. Warranty Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE. THE COMPANY DOES NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR MEET YOUR SPECIFIC REQUIREMENTS.

Financial advice and projections provided are based on information available at the time and involve inherent risks and uncertainties. Past performance does not guarantee future results. Users should conduct independent due diligence and consult with qualified financial and legal professionals before making business decisions.

9. Indemnification

You agree to indemnify, defend, and hold harmless Cashflowboostzone Inc., its officers, directors, employees, agents, and affiliates from any claims, damages, losses, costs, or expenses (including reasonable attorney's fees) arising from your use of the Services, violation of these Terms, infringement of third-party rights, or any illegal activity.

10. Payment Terms

If you purchase Services from Cashflowboostzone Inc., you agree to pay all fees according to the pricing specified in your service agreement or invoice. Payment must be made within the agreed-upon terms, typically 30 days from invoice date. Late payments may incur interest charges at the rate of 1.5% per month or the maximum rate permitted by law. We accept various payment methods, and all prices are in Canadian dollars unless otherwise specified. Refunds, if applicable, will be issued according to our refund policy provided at the time of purchase.

11. Term and Termination

Your use of the Services is effective upon your acceptance of these Terms and continues until terminated by either party. You may terminate your access at any time by ceasing use and, if applicable, requesting account deletion. Cashflowboostzone Inc. may terminate or suspend your access immediately without notice if you violate these Terms or for any reason at its sole discretion, with 30 days' written notice for non-breach terminations.

Upon termination, your right to use the Services immediately ceases, and all provisions that by their nature should survive termination shall continue to apply, including confidentiality, indemnification, and limitation of liability.

12. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information, trade secrets, and sensitive business data shared in connection with the Services. The Company commits to treating all client financial information as confidential and will not disclose it to third parties without explicit written consent, except as required by law or to provide the Services.

13. Third-Party Links and Services

Our website may contain links to third-party websites and services. We do not endorse, control, or assume responsibility for the content, accuracy, or practices of these external sites. Your use of third-party services is governed by their terms and policies. We encourage you to review their terms before proceeding. The Company is not liable for any harm resulting from your use of third-party websites or services.

14. Modifications to Terms

Cashflowboostzone Inc. reserves the right to modify these Terms at any time. Material changes will be communicated to Users via email or prominent notification on our website. Your continued use of the Services after modifications indicates your acceptance of the updated Terms. If you do not agree to modified Terms, you must cease using the Services.

15. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law principles. Both parties submit to the exclusive jurisdiction of the courts located in Toronto, Ontario. However, the Company retains the right to seek injunctive relief in any court of competent jurisdiction.

16. Dispute Resolution

Before initiating formal legal proceedings, both parties agree to attempt good faith resolution through negotiation. If informal resolution fails, either party may pursue mediation or arbitration as a cost-effective alternative to litigation. Any unresolved disputes shall be subject to the exclusive jurisdiction of the Ontario courts as outlined in Section 15.

17. Severability

If any provision of these Terms is found to be invalid, unenforceable, or illegal, such provision shall be severed, and the remaining provisions shall continue in full force and effect. The Company will make reasonable efforts to replace invalid provisions with valid provisions that achieve the original intent.

18. Entire Agreement

These Terms, together with any accompanying documents, privacy policy, and service agreements, constitute the entire agreement between you and Cashflowboostzone Inc. regarding your use of the Services and supersede all prior understandings, negotiations, and agreements, whether written or oral.
